Terms and Conditions of Digital Platform Run System Service

Selamat datang di Syarat dan Ketentuan Layanan Digital Platform RUN System (selanjutnya disebut "S&K"). S&K ini akan meliputi penggunaan layanan R1 (Pengguna R1 selanjutnya akan disebut "User"), RUN Market Buyer (Pengguna RUN Market Buyer selanjutnya akan disebut "Buyer") dan RUN Market Seller (Pengguna RUN Market Seller selanjutnya akan disebut "Seller") (User, Buyer, dan Seller secara bersama-sama disebut "Pengguna"). Sebagai upaya pemberian layanan yang maksimal kepada setiap Pengguna, RUN System (selanjutnya disebut "Kami") menerapkan S&K untuk digunakan sebagai acuan apabila ditemukan permasalahan dalam penggunaan Digital Platform Kami. Kami menyarankan anda sebagai Pengguna atau calon pengguna untuk membaca S&K ini dan turunannya (selanjutnya disebut "S&K Turunan") secara berkala bersama dengan Kebijakan Privasi yang merupakan bagian yang tidak terpisahkan dari S&K ini.

Welcome to the Terms and Conditions of the RUN System Digital Platform (hereinafter referred to as "Terms and Conditions" or "T&C"). This T&C includes the use of the R1 service (R1 Users hereinafter referred to as "Users"), RUN Market Buyers (RUN Market Buyer Users hereinafter referred to as "Buyers"), and RUN Market Sellers (RUN Market Seller Users hereinafter referred to as "Sellers") (Users, Buyers, and Sellers collectively referred to as "Customers"). In an effort to provide optimal service to each User, RUN System (hereinafter referred to as "We") implements this T&C to be used as a reference in case issues arise in the use of Our Digital Platform. We advise you as a User or prospective user to regularly read this T&C and their derivatives (hereinafter referred to as "Derived T&C") together with the Privacy Policy, which is an integral part of this T&C

Dengan menggunakan layanan atau melakukan Registrasi pada Digital Platform Kami, Pengguna memberikan penerimaan dan persetujuan yang tidak dapat dicabut atas S&K ini, termasuk syarat dan ketentuan tambahan serta kebijakan yang disebutkan dan/atau terkait S&K ini, Kebijakan Privasi Kami, dan setiap informasi yang tersedia di Digital Platform Kami termasuk namun tidak terbatas pada, bagian Help Center dan Frequently Asked Question dari Digital Platform. Pengguna akan bertanggung jawab atas semua penggunaan yang dilakukan dan/atau layanan yang didapatkan dari Digital Platform Kami, baik saat ini atau di masa mendatang.

By using the services or registering on Our Digital Platform, Customers provide irrevocable acceptance and approval of this T&C, including additional terms and conditions as well as policies mentioned and/or related to this T&C, Our Privacy Policy, and any information available on Our Digital Platform including but not limited to the Help Center and Frequently Asked Questions sections of the Digital Platform. Customers will be responsible for all use and/or services obtained from Our Digital Platform, both now and in the future.

If you do not agree to these terms, please do not use Our services or access the site.

1. SYARAT DAN KETENTUAN UMUM/GENERAL TERMS AND CONDITIONS
   1. Keberlakuan/ Effectiveness Applicable
      1. Untuk menggunakan Digital Platform Kami secara penuh, Pengguna diminta untuk melakukan pendaftaran akun pada Digital Platform Kami. Untuk kepentingan pendaftaran akun tersebut, Kami akan mengumpulkan dan memproses informasi yang Pengguna berikan termasuk namun tidak terbatas pada identitas diri atau badan, informasi alamat surat elektronik (e-mail), nomor handphone maupun informasi lainnya yang harus Pengguna isikan pada saat pendaftaran akun.

To fully use Our Digital Platform, Customers are required to register an account on Our Digital Platform. For the purpose of registering an account, We will collect and process the information provided by Customers including but not limited to personal or entity identities, email address information, phone numbers, or other information that Customers must fill in at the time of account registration.

2. Pengguna menjamin kebenaran dan keaslian segala informasi yang akan Pengguna masukkan, sediakan, dan daftarkan pada Digital Platform Kami serta menjamin dan memiliki hak untuk membagikan, menyebarkan, dan menyalurkan segala informasi yang didaftarkan tersebut. Lebih lanjut setiap informasi tersebut bukan dikategorikan atau terikat pada ketentuan mengenai Informasi Rahasia antara Pengguna dan pihak lainnya yang tidak diperbolehkan untuk disebarluaskan.

Customers guarantee the truthfulness and authenticity of all information that Customers will enter, provide, and register on Our Digital Platform and guarantee and have the right to share, disseminate, and distribute all registered information. Furthermore, any such information is not classified or bound by provisions regarding Confidential Information between Customers and other parties that are not allowed to be disseminated

3. Kegagalan dalam memenuhi salah satu atau lebih ketentuan yang terkandung dalam S&K, S&K Turunan, dan Kebijakan Privasi yang terkandung dan berkaitan dengan fitur dan layanan Digital Platform dapat menyebabkan Pengguna dituntut baik secara pidana maupun digugat secara perdata. Lebih lanjut Pengguna wajib memberikan ganti rugi baik materiil maupun immateriil, memenuhi klaim dan sanksi, serta membebaskan Kami dari segala tanggung jawab atas kesalahan Pengguna yang telah gagal memenuhi S&K, S&K Turunan, dan Kebijakan Privasi.

Failure to comply with one or more provisions contained in the T&C, Derived T&C, and Privacy Policy contained and related to the features and services of the Digital Platform may result in Customers being prosecuted either criminally or sued civilly. Furthermore, Customers are obliged to provide compensation both materially and immaterially, meet claims and sanctions, and release Us from all liability for Customers errors that have failed to comply with the T&C, Derived T&C, and Privacy Policy.

4. Dalam bertransaksi, Pengguna diwajibkan bertransaksi melalui Digital Platform Kami hingga proses transaksi selesai dengan fitur dan prosedur yang telah kami sediakan. Segala risiko atas transaksi yang dilakukan diluar Digital Platform kami baik secara sebagian maupun keseluruhan bukanlah tanggung jawab Kami.

In transactions, Customers are required to transact through Our Digital Platform until the transaction process is completed with the features and procedures that we have provided. All risks for transactions made outside of Our Digital Platform, whether in part or in whole, are not Our responsibility

2. Definisi/ Definition

Kecuali ditentukan lain dalam hubungan kalimat di dalam S&K ini, istilah-istilah yang dipakai dalam S&K ini haruslah diartikan sebagai berikut:

Unless otherwise specified in the context within these Terms and Conditions, the terms used in these Terms and Conditions shall be interpreted as follows:

1. “R1” adalah layanan Enterprise Resource Planning yang berbasis desktop;

“R1” is a desktop-based Enterprise Resource Planning service;

2. “User” adalah badan usaha maupun komisaris, direksi, dan/atau karyawan dari badan usaha yang menggunakan layanan R1;

"User" is a business entity as well as commissioners, directors, and/or employees of a business entity that uses the R1 service;

3. “RUN Market” adalah layanan e-Procurement yang menghubungkan Buyer dan Seller;

"RUN Market" is an e-Procurement service that connects Buyers and Sellers;

4. “Buyer” adalah badan usaha yang menggunakan layanan RUN Market untuk melakukan transaksi pengadaan dan pembelian barang dan jasa kepada Seller;

"Buyer" is a business entity that utilizes the RUN Market services to carry out procurement transactions and purchase goods and services from the Seller;

5. “Seller” adalah vendor penyedia produk dan jasa yang dipasarkan kepada Buyer pada platform RUN Market;

"Seller" is a vendor who provides products and services marketed to the Buyer on the RUN Market platform;

6. “Cross Selling” adalah transaksi antara Seller dengan Buyer yang bukan merupakan asal dari Seller tersebut atau bisa disebut dengan Buyer baru pada platform RUN Market;

"Cross Selling" is a transaction between a Seller and a Buyer who is not originally from that Seller or can be referred to as a new Buyer on the RUN Market platform.

7. “Informasi Rahasia” berarti mencakup, namun tidak terbatas pada, setiap informasi mengenai hukum, usaha dan atau teknis sehubungan dan terkait dengan Pihak Yang Mengungkapkan dan/atau Kerja Sama termasuk, namun tidak terbatas, pada informasi Afiliasi, Seller (vendor), agen, produk, harga, informasi keuangan, rencana, proses usaha, rencana usaha, penjualan, desain, data, proyeksi pemasaran, rencana pemasaran, perkiraan, basis data Klien, Penemuan, serta setiap informasi dan data lain terkait dengan Pihak Yang Mengungkapkan dan/atau Kerja Sama, yang dapat diberikan, baik secara lisan, maupun secara tertulis, atau melalui bentuk magnetik, media elektronik, atau foto, atau gambar, dan atau dalam bentuk lain, oleh Pihak Yang Mengungkapkan kepada Pihak Yang Menerima termasuk, usulan dan atau pembicaraan, yang mengandung atau didasarkan pada, baik seluruhnya maupun sebagian, informasi yang diberikan oleh Pihak Yang Mengungkapkan;

"Confidential Information" means, but is not limited to, any information regarding legal, business, and/or technical matters relating to and associated with the Disclosing Party and/or the Collaboration, including, but not limited to, information about Affiliates, Sellers (vendors), agents, products, prices, financial information, plans, business processes, business plans, sales, designs, data, marketing projections, marketing plans, estimates, Client databases, Discoveries, as well as any other information and data related to the Disclosing Party and/or the Collaboration that may be provided, either orally, in writing, or through magnetic form, electronic media, or photographs, or images, and/or in other forms, by the Disclosing Party to the Receiving Party including proposals and/or discussions that contain or are based on, either wholly or in part, information provided by the Disclosing Party.

8. “Pihak Yang Menerima”, berarti suatu pihak yang menerima Informasi Rahasia dari pihak lainnya;

"The Receiving Party" means a party that receives Confidential Information from another party.

9. “Pihak Yang Mengungkapkan”, berarti suatu pihak yang memberikan Informasi Rahasia kepada pihak lainnya;

"The Disclosing Party" means a party that provides Confidential Information to another party;

10. “Afiliasi” berarti setiap pihak, kerabat, anak perusahaan, atau induk perusahaan dari suatu Pihak, atau perusahaan yang dikendalikan oleh, atau mengendalikan suatu Pihak;

"Affiliate" means any party, relative, subsidiary, or parent company of a Party, or a company controlled by, or controlling a Party;

11. “Personil” berarti direktur, komisaris, pegawai, penasihat atau pihak lain dari suatu Pihak yang dapat secara wajar mengakses Informasi Rahasia;

"Personnel" means directors, commissioners, employees, advisors, or other parties of a Party who can reasonably access Confidential Information;

12. “Wanprestasi”, berarti segala perbuatan sebagaimana diatur dalam Pasal 1243 Kitab Undang-Undang Hukum Perdata.

"Breach of contract", means any act as regulated in Article 1243 of the Indonesian Civil Code.

3. Kerahasiaan dan Kepemilikan Data/ Confidentiality and Data Ownership
   1. Pihak Yang Menerima dengan ini setuju bahwa Informasi Rahasia merupakan milik dari Pihak Yang Mengungkapkan. Tidak ada satu ketentuan pun dalam Perjanjian ini yang memberikan pengertian atau penafsiran, atau dapat ditafsirkan bahwa setiap Informasi Rahasia yang diberikan, dikirimkan atau diungkapkan kepada Pihak Yang Menerima adalah bentuk dari pengalihan kepemilikan, hibah, pemberian opsi, atau pemberian lisensi hak kekayaan intelektual atas Informasi Rahasia;

The Receiving Party hereby agrees that the Confidential Information is the property of the Disclosing Party. No provision in this Agreement shall be construed to mean, or interpreted, or deemed to imply that any Confidential Information provided, sent, or disclosed to the Receiving Party constitutes a transfer of ownership, grant, option grant, or licensing of intellectual property rights over the Confidential Information.

2. Dengan diberikan atau diungkapkan nya Informasi Rahasia oleh Pihak Yang Mengungkapkan kepada Pihak Yang Menerima, Pihak Yang Menerima wajib untuk:

When confidential information is disclosed by the Disclosing Party to the Receiving Party, the Receiving Party shall:

1. tidak mempergunakan Informasi Rahasia selain untuk keperluan Kerja Sama;

Do not use Confidential Information except for the purpose of Cooperation.

2. tidak mempergunakan Informasi Rahasia yang dapat merugikan Pihak Yang Mengungkapkan dan tidak, dengan cara melawan hukum atau dengan cara yang tidak etis, mempergunakan Informasi Rahasia untuk keuntungan dirinya sendiri atau pihak lain;

Not utilizing Confidential Information that may harm the Disclosing Party and not, unlawfully or unethically, using Confidential Information for one's own benefit or for others;

3. menjaga kerahasiaannya dan memastikan bahwa Informasi Rahasia tidak diungkapkan kepada Personil, Afiliasi, atau Perwakilan kecuali dalam hal pengungkapan tersebut dipandang perlu untuk kepentingan Kerja Sama dan atas dasar “perlu untuk diketahui” untuk kepentingan Kerja Sama tanpa mengesampingkan ketentuan lain dari Perjanjian ini;

To maintain its confidentiality and ensure that Confidential Information is not disclosed to Personnel, Affiliates, or Representatives except where such disclosure is deemed necessary for the purpose of Cooperation and on a "need-to-know" basis for the purpose of Cooperation without prejudice to other provisions of this Agreement;

4. memastikan bahwa seluruh Personil, Afiliasi, dan Perwakilan juga menjaga kerahasiaan dari Informasi Rahasia yang diungkapkan atau dapat diketahui oleh mereka atau salah satu dari mereka sesuai dengan syarat-syarat dan ketentuan Perjanjian ini, dengan ketentuan bahwa Pihak Yang Menerima tetap bertanggung jawab secara penuh terhadap Pihak Yang Mengungkapkan atas pelanggaran Perjanjian ini oleh setiap Personel dan Afiliasi;

Ensures that all Personnel, Affiliates, and Representatives also maintain the confidentiality of the Confidential Information disclosed or known to them or any of them in accordance with the terms and conditions of this Agreement, provided that the Receiving Party shall remain fully responsible to the Disclosing Party for any breach of this Agreement by any Personnel and Affiliates.

5. mengambil dan memastikan diambilnya langkah-langkah yang wajar yang perlu dilakukan oleh Pihak Yang Menerima dan/atau Personil, Afiliasi, atau Perwakilannya untuk memastikan kerahasiaan Informasi Rahasia;

Taking and ensuring the reasonable steps that need to be taken by the Receiving Party and/or Personnel, Affiliates, or Representatives to ensure the confidentiality of the Confidential Information.

6. tidak membuka Informasi Rahasia kepada pihak ketiga kecuali sebelumnya telah mendapatkan persetujuan tertulis dari Pihak Yang Mengungkapkan; dan

Not disclosing Confidential Information to third parties unless prior written consent has been obtained from the Disclosing Party; and

7. tidak, atau mengizinkan pihak lain, termasuk Personil, Afiliasi, dan Perwakilannya, untuk membuat fotokopi/salinan atau mereproduksi dalam bentuk apapun, setiap Informasi Rahasia tanpa sebelumnya telah mendapatkan persetujuan tertulis dari Pihak Yang Mengungkapkan, kecuali yang secara wajar diperlukan untuk Kerja Sama;

Not to, or allow any other party, including Personnel, Affiliates, and their Representatives, to make photocopies/copies or reproduce in any form, any Confidential Information without prior written consent from the Disclosing Party, except as reasonably necessary for Collaboration;

8. membuat agar seluruh Informasi Rahasia dan seluruh informasi yang dihasilkan oleh Pihak Yang Mengungkapkan dari suatu Informasi Rahasia terpisah dari dokumen dan catatan-catatan atau rekaman-rekaman lain, serta memelihara tempat penyimpanan yang layak dan aman atas setiap Informasi Rahasia dalam bentuk apapun yang berada padanya; dan

To ensure that all Confidential Information and all information generated by the Disclosing Party from any Confidential Information are kept separate from documents and other records or recordings, and to maintain a suitable and secure storage location for any Confidential Information in any form held by it; and

9. untuk tidak menggunakan, mereproduksi, mengalih bentukkan, atau menyimpan setiap dari Informasi Rahasia pada akses komputer atau sistem penerimaan informasi elektronik eksternal atau mengirimkan Informasi Rahasia tersebut dalam bentuk apapun termasuk namun tidak terbatas pada bentuk tulisan, lisan, gambar, rekaman, cakram optik (optical disc), flash disk, hard disk ke luar tempat usaha Pihak Yang Menerima.

To not use, reproduce, alter, or store any of the Confidential Information on computer access or external electronic information systems or transmit such Confidential Information in any form including but not limited to written, oral, visual, recording, optical disc, flash disk, hard disk outside the premises of the Receiving Party.

3. Suatu informasi yang tidak dianggap Informasi Rahasia sebagaimana dimaksud dalam Perjanjian ini adalah apabila suatu informasi tersebut memenuhi salah satu ketentuan di bawah ini:

Information that is not considered Confidential Information as referred to in this Agreement is when such information meets any of the following provisions:

1. telah menjadi pengetahuan umum atau telah dipublikasikan kepada umum dengan cara yang tidak melanggar ketentuan kerahasiaan berdasarkan Perjanjian ini maupun ketentuan lain yang terkait dengannya;

It has become public knowledge or has been publicly disclosed in a manner that does not violate the confidentiality provisions under this Agreement or any related provisions.

2. telah diketahui oleh Pihak Yang Menerima sebelum Informasi Rahasia diberikan atau diungkapkan kepada Pihak Yang Menerima sebagaimana dibuktikan dengan bukti tertulis Pihak Yang Menerima; dan/atau

Has been known by the Receiving Party before the Confidential Information is provided or disclosed to the Receiving Party as evidenced by written proof of the Receiving Party; and/or

3. disyaratkan untuk diungkapkan berdasarkan ketentuan hukum yang berlaku atau berdasarkan perintah badan peradilan atau instansi Pemerintah terkait.

Required to be disclosed in accordance with applicable law or by order of a court or relevant Government agency.

4. Dalam hal Pihak Yang Menerima, Afiliasi, Personil, maupun Perwakilannya secara hukum diperintah untuk mengungkapkan suatu Informasi Rahasia kepada lembaga peradilan, pemerintah, peraturan perundang-undangan, atau pejabat yang berwenang atas hal tersebut, Pihak Yang Menerima sebelum melakukan pengungkapan kepada pihak lain tersebut wajib menyampaikan permohonan izin pengungkapan Informasi Rahasia secara tertulis kepada Pihak Yang Mengungkapkan paling lambat 7 (tujuh) Hari Kerja setelah Pihak Yang Menerima mendapat perintah pengungkapan tersebut, agar Pihak Yang Mengungkapkan dapat melakukan upaya hukum atau tindakan protektif lainnya untuk mencegah atau mengabaikan permohonan izin pengungkapan tersebut guna menegakkan kepatuhan terhadap ketentuan-ketentuan Perjanjian ini dan memberi persetujuan atas pengungkapan informasi terkait.

In the event that the Receiving Party, Affiliates, Personnel, or Representatives are legally compelled to disclose Confidential Information to the judiciary, government, regulations, or authorized officials, the Receiving Party must, before disclosing such information to other parties, submit a written request for permission to disclose the Confidential Information to the Disclosing Party no later than 7 (seven) working days after receiving such disclosure order, so that the Disclosing Party can take legal action or other protective measures to prevent or disregard the request for disclosure in order to enforce compliance with the provisions of this Agreement and approve the disclosure of related information.

5. Atas permintaan Pihak Yang Mengungkapkan, Pihak Yang Menerima wajib menyebabkan dikembalikannya atau dimusnahkannya dokumen-dokumen atau data terkait dan/atau yang termasuk sebagai Informasi Rahasia dan setiap reproduksinya apabila pengembalian atau pemusnahan tersebut tidak dilarang oleh aturan perundang-undangan, dengan ketentuan teknis mengenai pengembalian atau pemusnahan yang dimaksud dalam Pasal ini, akan ditentukan dalam sebuah pemberitahuan tertulis oleh Pihak Yang Mengungkapkan.

Upon request by the Disclosing Party, the Receiving Party shall cause the return or destruction of documents or data related and/or included as Confidential Information and any reproductions thereof if such return or destruction is not prohibited by laws and regulations, with the technical provisions regarding the intended return or destruction specified in this Article, to be determined in a written notice by the Disclosing Party.

4. Hukum dan Sanksi/ Regulations and Penalties
   1. S&K ini diatur, ditafsirkan, dan dilaksanakan sesuai dengan hukum yang berlaku di Negara Republik Indonesia;

This (T&C) are regulated, interpreted, and enforced in accordance with the laws applicable in the Republic of Indonesia.

2. Dalam hal terdapat salah satu maupun beberapa ketentuan dari S&K ini yang dianggap melanggar hukum, batal, atau karena alasan apapun tidak dapat diberlakukan berdasarkan hukum yang berlaku di Negara Republik Indonesia, maka ketentuan tersebut harus dianggap dapat dipisahkan dari S&K ini dan tidak akan mempengaruhi keabsahan dan keberlakuan setiap ketentuan yang lainnya maupun keabsahan dan keberlakuan ketentuan tersebut berdasarkan hukum yang berlaku di Negara Republik Indonesia;

In the event that any provision or provisions of these (T&C) are deemed to violate the law, void, or for any reason unenforceable under the applicable regulations in the Republic of Indonesia, such provision shall be considered separable from these (T&C) and shall not affect the validity and enforceability of any other provisions or the validity and enforceability of such provision under the applicable regulations in the Republic of Indonesia;

3. Dalam hal Pengguna melanggar ketentuan yang terdapat dalam S&K ini, Kami berhak mengenakan sanksi sesuai dengan ketentuan yang telah Kami tetapkan;

If Customers violate the provisions contained in these (T&C), We reserve the right to impose sanctions in accordance with the provisions that We have established

4. Setiap penggunaan tanpa hak atau tidak sah atau gangguan atas layanan Digital Platform Kami yang dilakukan oleh siapapun juga, sesuai dengan peraturan perundang-undangan yang berlaku di Negara Republik Indonesia (termasuk tapi tidak terbatas pada peraturan telekomunikasi, penyiaran, kitab undang-undang hukum pidana) adalah perbuatan melawan hukum yang diancam hukuman pidana;

Every unauthorized or unlawful use or interference with Our Digital Platform services by anyone, in accordance with the prevailing laws and regulations in the Republic of Indonesia (including but not limited to telecommunications regulations, broadcasting, criminal law statutes) is an illegal act punishable by criminal penalties.

5. Pelanggaran atas ketentuan S&K, S&K Turunan, dan/atau Kebijakan Privasi oleh Pengguna akan menimbulkan hak bagi Kami untuk melakukan tuntutan pidana, gugatan perdata, maupun pengenaan sanksi kepada Pengguna sesuai dengan hukum yang berlaku di Indonesia dan kebijakan Kami;

Violation of the T&C, derivative T&C, and/or Privacy Policy by the Customer will give us the right to pursue criminal charges, civil lawsuits, or impose sanctions on the Customer in accordance with the laws in Indonesia and our policies;

6. Kami berhak memutuskan layanan Digital Platform Kami jika terjadi penyalahgunaan atas penggunaan Digital Platform Kami maupun atas pelanggaran S&K ini.

We reserve the right to terminate our Digital Platform services in the event of misuse of our Digital Platform or violations of these (T&C).

 

2. SYARAT DAN KETENTUAN UMUM RUN MARKET BUYER/ Terms and Conditions for Run Market Buyers
   1. Keberlakuan/ Validity
      1. S&K ini mulai berlaku sejak hari pertama Buyer menggunakan layanan RUN Market Procurement.

The T&C apply from the first day the Buyer uses the RUN Market Procurement service.

2. Dengan menggunakan RUN Market Procurement, Buyer telah memberikan penerimaan dan persetujuan yang tidak dapat dicabut atas isi S&K ini, termasuk kebijakan maupun aturan lain yang terkait dengan S&K ini;

By using RUN Market Procurement, the Buyer has given irrevocable acceptance and approval of the contents of this T&C, including policies and other rules related to this T&C;

3. Dalam hal Buyer tidak menyetujui ketentuan ini, Buyer dipersilahkan untuk berhenti menggunakan RUN Market Procurement;

In terms of Buyer not agreeing to this provision, Buyer is allowed to stop using RUN Market Procurement.

4. Segala perubahan terhadap RUN Market Procurement beserta fasilitasnya akan tetap tunduk pada S&K ini.

Any changes to the RUN Market Procurement and its facilities will remain subject to this T&C.

2. Penggunaan Layanan RUN Market/ The use of RUN Market Services
   1. Buyer wajib melakukan registrasi secara online dengan data yang benar dan akurat melalui RUN Market;

The Buyer must register online with accurate and correct data through RUN Market;

2. Setelah proses registrasi pada poin B.1 tersebut di atas, Buyer akan mendapat username dan password yang dapat digunakan untuk log in akun RUN Market;

After the registration process in point B.1 above, the Buyer will receive a username and password that can be used to log in to the RUN Market account.

3. Buyer menyetujui bahwa username dan password yang diperoleh merupakan representasi Buyer atas segala aktivitas dalam RUN Market dan penggunaan atas username dan password tersebut akan terasosiasikan dengan segala aktivitas dalam sistem Kami;

The Buyer agrees that the username and password obtained represent the Buyer for all activities in the RUN Market and the use of the username and password will be associated with all activities in our system;

4. Buyer bersedia untuk dikenakan biaya transaction fee atas aktivitas pembayaran;

The Buyer is willing to be charged a transaction fee for payment activities;

5. Buyer bertanggung jawab atas penjagaan kerahasiaan username dan password dan bertanggung jawab atas transaksi dan kegiatan lain yang menggunakan akun miliknya;

The Buyer is responsible for maintaining the confidentiality of the username and password and is responsible for transactions and other activities using their account;

6. Buyer wajib memutakhirkan data diri atau badan dalam hal terdapat perubahan atau jika tidak sesuai dengan S&K ini;

The Buyer must update personal or company data in case of changes or if it does not comply with this T&C;

7. Buyer setuju untuk segera memberikan informasi kepada Kami apabila mengetahui adanya penyalahgunaan akun miliknya oleh pihak lain yang tidak berhak atau jika ada gangguan keamanan atas akun miliknya;

The Buyer agrees to immediately inform us if they become aware of any unauthorized use of their account by others or if there is a security breach of their account.

8. Buyer yang memenuhi kewajibannya berdasarkan S&K ini berhak menikmati layanan RUN Market selama 7 (tujuh) hari seminggu dan 24 (dua puluh empat) jam sehari dari Kami;

Buyers who fulfill their obligations under this T&C are entitled to enjoy RUN Market services 7 (seven) days a week and 24 (twenty-four) hours a day from us.

9. Buyer berhak untuk mendapatkan layanan perbaikan, maintenance, dan patch terkait platform RUN Market;

The Buyer has the right to receive repair, maintenance, and patch services related to the RUN Market platform.

10. RUN Market akan selalu memberikan informasi terbarunya melalui salah satu saluran komunikasi, website, teks berjalan (scrolling text), atau pada media-media lainnya;

RUN Market will always provide its latest information through one of the communication channels, website, scrolling text, or other media;

11. Kami berhak sewaktu-waktu mengurangi, menambah atau mengubah layanan RUN Market dengan pemberitahuan terlebih dahulu melalui pengumuman di salah satu saluran komunikasi RUN Market seperti pada website, dan teks berjalan (scrolling text), atau pada media-media lainnya, kecuali perubahan yang dilakukan pihak ketiga;

We reserve the right to reduce, add, or modify RUN Market services with prior notice through announcements on one of the RUN Market communication channels such as the website, scrolling text, or other media, except for changes made by third parties;

12. Calon Buyer bertanggung jawab penuh terhadap kebenaran dan seluruh data dan informasi yang disampaikan di dalam Registration Form RUN Market;

Prospective Buyers are fully responsible for the accuracy and all data and information provided in the RUN Market Registration Form.

13. Atas kebijakan Kami. Kami berhak secara sepihak menolak permohonan calon Buyer.

Under our policy, we reserve the right to unilaterally reject prospective Buyer applications;

14. Buyer bersedia untuk memberikan seluruh informasi terkait Seller, yaitu vendor yang sudah sah terdaftar sebagai vendor di sisi Buyer.

The Buyer is willing to provide all information related to the Seller, namely vendors who are validly registered as vendors on the Buyer's side.

3. Implementasi Integrasi RUN Market/ Implementation of RUN Market Integration
   1. Implementasi integrasi RUN Market merupakan salah satu layanan dari Digital Platform yang memungkinkan integrasi antara Platform RUN Market Buyer dan Enterprise Resource Planning (“ERP”) RUN System Modul Procurement;

The implementation of RUN Market integration is one of the services provided by the Digital Platform that enables integration between the RUN Market Buyer Platform and the Enterprise Resource Planning ("ERP") RUN System Procurement Module.

2. Permintaan implementasi integrasi RUN Market bagi Buyer baru akan dilaksanakan setelah Buyer mengisi Registration Form RUN Market dan menyepakati S&K ini dengan prosedur yang telah Kami tetapkan;

The request for implementing RUN Market integration for new Buyers will be carried out after the Buyer fills out the RUN Market Registration Form and agrees to these Terms and Conditions with the procedures that we have established;

3. Implementasi Integrasi RUN Market akan dilakukan sesuai dengan lokasi Buyer dengan tanggal dan waktu pengerjaan yang disepakati Bersama;

The implementation of RUN Market Integration will be conducted according to the Buyer's location with an agreed-upon date and time for the execution;

4. Kami akan menginformasikan kepada Buyer tentang seluruh tindakan serta proses kegiatan dalam rangka implementasi Integrasi RUN Market pada Buyer;

We will inform the Buyer about all actions and processes involved in the implementation of the RUN Market integration service for the Buyer.

5. Buyer wajib memberikan hak akses ke dalam Enterprise Resource Planning (“ERP”) RUN System Modul Procurement yang dimiliki Buyer kepada Kami untuk pelaksanaan proses implementasi integrasi layanan RUN Market dan menyepakati akibat yang ditimbulkan dari proses implementasi integrasi;

The Buyer must provide access rights to their Enterprise Resource Planning ("ERP") RUN System Procurement Module to us for the implementation process of the RUN Market integration service and agree to the consequences arising from the integration implementation process;

6. Implementasi integrasi RUN Market yang telah selesai dilaksanakan akan dituangkan dalam sebuah Berita Acara Serah Terima (“BAST”) yang ditandatangani oleh perwakilan sah Buyer dan Kami;

The completed implementation of RUN Market integration will be documented in a Handover Report ("BAST") signed by an authorized representative of the Buyer and us;

7. Buyer membebaskan Kami dari segala gugatan/tuntutan pihak manapun juga atas segala kemungkinan yang timbul akibat dari implementasi integrasi RUN Market tersebut. Namun demikian, Kami akan selalu berpedoman kepada prinsip keamanan, kecermatan dan profesionalisme dalam pelaksanaan implementasi integrasi RUN Market tersebut;

The Buyer releases us from any claims or demands from any party arising from the implementation of the RUN Market integration. However, we will always adhere to the principles of security, accuracy, and professionalism in carrying out the implementation of the RUN Market integration.

4. Aktivitas Transaksi/ Transaction Activities
   1. Buyer wajib untuk menggunakan Virtual Account yang tersedia pada platform RUN Market atas setiap aktivitas transaksi yang dilakukan dengan Seller;

The buyer is required to use the Virtual Account available on the RUN Market platform for every transaction activity carried out with the seller;

2. Buyer akan dikenakan biaya untuk setiap aktivitas transaksi pembayaran yang dilakukan (Selanjutnya disebut Transaction Fee);

The buyer will incur charges for each payment transaction activity carried out (hereinafter referred to as Transaction Fee);

3. Besaran Transaction Fee yang di tanggung oleh Buyer adalah sebesar Rp3.500,00 (tiga ribu lima ratus rupiah) hingga Rp5.000,00 (lima ribu rupiah) setiap pembayaran yang dilakukan.

The amount of Transaction Fee borne by the buyer is between Rp3,500.00 (three thousand five hundred rupiah) and Rp5,000.00 (five thousand rupiah) for each payment made.

5. Batasan Penggunaan Layanan RUN Market/ Limitation of RUN Market Service Usage
   1. Buyer dilarang untuk:

Buyer is prohibited from:

1. mengenakan biaya kepada orang atau pihak lain untuk menikmati layanan RUN Market;

charging a fee to individuals or other parties to enjoy the services of RUN Market;

2. memberikan atau menayangkan ulang atau mendistribusikan atau memperluas sendiri layanan RUN Market dengan cara apapun kepada pihak lain;

providing or rebroadcasting or distributing or expanding the services of RUN Market yourself in any way to other parties;

3. memperbanyak dan/atau menggandakan dalam bentuk apapun semua layanan RUN Market;

reproducing and/or duplicating in any form all services of RUN Market;

4. menggunakan segala bentuk layanan maupun identitas RUN Market, termasuk namun tidak terbatas pada logo, trademark, dan lain sebagainya untuk kepentingan pribadi dan/atau pihak lain manapun;

using any form of services or identities of RUN Market, including but not limited to logos, trademarks, and others for personal and/or any other party's interests;

5. memberikan kesempatan kepada pihak lain untuk memanfaatkan sistem RUN Market yang tidak sebagaimana mestinya tanpa izin tertulis sebelumnya dari Kami.

providing opportunities for other parties to misuse the RUN Market system without prior written permission from Us.

2. Buyer menerima dan menyetujui bahwa seluruh sistem dan platform RUN Market harus digunakan untuk tujuan sebagaimana mestinya yang sesuai dengan norma-norma, hukum, dan peraturan perundang-undangan yang berlaku di Negara Republik Indonesia.

The buyer acknowledges and agrees that all systems and platforms of RUN Market must be used for their intended purposes in accordance with the norms, laws, and regulations applicable in the Republic of Indonesia.

6. Pemutusan atau Pemberhentian Layanan RUN Market/ Termination or Termination of RUN Market Services
   1. Jika Buyer berkehendak untuk melakukan pemberhentian penggunaan layanan RUN Market, Buyer wajib memberikan pemberitahuan terlebih dahulu kepada Kami dengan menghubungi Customer Service RUN Market selambat-lambatnya 10 (sepuluh) hari kalender sebelumnya;

If the Buyer wishes to terminate the use of RUN Market services, the Buyer must provide prior notice to Us by contacting the Customer Service of RUN Market at the latest 10 (ten) calendar days before;

2. Buyer juga tetap berkewajiban melunasi sisa pembayarannya kepada Seller terkait pengadaan yang telah dilakukan dan pengurusan administrasi terkait;

The Buyer is also obliged to settle the remaining payments to the Seller related to the procurement that has been carried out and related administrative matters.

3. Buyer yang telah dilakukan pemutusan layanan atau pembatasan akses, baik atas permintaan Buyer sendiri maupun disebabkan oleh kebijakan Kami, Kami dan/atau pihak lain yang secara resmi Kami tunjuk dapat sewaktu-waktu mengadakan pemeriksaan dan diskusi langsung dengan penanggung jawab Buyer. Pelaksanaan pemeriksaan dan diskusi tersebut mengacu pada hukum dan peraturan perundang-undangan yang berlaku dan jika diperlukan akan bekerja sama dengan jajaran penegak hukum dan instansi pemerintah yang berwenang.

Buyers who have terminated services or restricted access, either at the request of the Buyer or due to Our policy, We and/or other parties officially appointed by Us may at any time conduct inspections and direct discussions with the Buyer's responsible party. The implementation of such inspections and discussions refers to applicable laws and regulations and, if necessary, will cooperate with law enforcement agencies and relevant government agencies.

7. Batasan Tanggung Jawab Kami/ Our Limitation of Liability
   1. Kami tidak bertanggungjawab atas segala bentuk Wanprestasi yang dilakukan oleh Seller terkait transaksi yang dilakukan dengan Buyer;

We are not responsible for any form of default committed by the Seller related to transactions conducted with the Buyer;

2. Buyer dengan ini membebaskan Kami dari segala bentuk tanggung jawab atas transaksi yang dilakukan antara Buyer dan Seller di luar platform RUN Market;

The Buyer hereby releases Us from any form of liability for transactions conducted between the Buyer and the Seller outside the RUN Market platform.

3. Kami tidak bertanggung jawab dan Buyer setuju untuk membebaskan Kami dari tanggung jawab atas terjadinya keadaan kahar atau force majeure, yaitu kondisi diluar kehendak/kemampuan Kami, termasuk namun tidak terbatas pada bencana alam, huru-hara, revolusi, blokade, embargo, tindakan dari pemerintah, pemogokan, penutupan perusahaan, wabah, perintah hukum apapun, proklamasi, regulasi, ordonansi, saluran yang hilang karena gangguan server yang bukan merupakan kesalahan Kami, dan hal-hal lain yang mungkin terjadi selama masa penggunaan yang berada di luar jangkauan kemampuan manusia pada umumnya. Dalam hal terjadi keadaan kahar atau force majeure tersebut, Kami tidak berkewajiban untuk memberikan ganti rugi dalam bentuk apapun kepada Buyer, termasuk tidak berkewajiban pada penyesuaian biaya layanan, biaya admin, dan biaya lainnya.

We are not liable, and the Buyer agrees to release Us from liability for the occurrence of force majeure events, that is, conditions beyond Our control/ability, including but not limited to natural disasters, riots, revolutions, blockades, embargoes, government actions, strikes, company closures, epidemics, any legal orders, proclamations, regulations, ordinances, lost channels due to server disruptions that are not Our fault, and other events that may occur during the period of use that are beyond the reach of human capabilities in general. In the event of such force majeure events, We are not obligated to provide any form of compensation to the Buyer, including not being liable for adjusting service fees, administrative fees, and other costs.

8. Pernyataan dan Jaminan Buyer/ Buyer's Statements and Warranties

Buyer menyatakan dan menjamin bahwa:

Buyer represents and warrants that:

1. Buyer memiliki kapasitas hukum, hak, kewajiban, serta wewenang untuk mengikatkan diri pada S&K ini dan mematuhi seluruh isi S&K ini; dan

Buyer has the legal capacity, rights, obligations, and authority to bind itself to this T&C and comply with all the provisions of this T&C; and

2. Buyer akan menggunakan layanan RUN Market untuk tujuan yang sah dan sesuai S&K ini serta peraturan perundang-undangan, kode, arahan, pedoman, kebijakan, dan aturan lain yang berlaku.

Buyer will use RUN Market services for legitimate purposes in accordance with this T&C and applicable laws, codes, directives, guidelines, policies, and other regulations.

9. Lain-lain/ Miscellaneous
   1. Biaya Layanan dan biaya-biaya lainnya yang mungkin timbul atas layanan RUN Market sewaktu-waktu dapat berubah dengan atau tanpa pemberitahuan terlebih dahulu kepada Buyer;

Service fees and other possible costs arising from the RUN Market services may change at any time with or without prior notice to the Buyer;

2. Kami berhak melakukan promosi kepada Buyer, baik langsung maupun tidak langsung, termasuk juga pengiriman informasi produk, atau jasa, atau berita langsung ke Buyer;

We reserve the right to promote to the Buyer, both directly and indirectly, including sending product information, or services, or news directly to the Buyer.

3. Kami berhak melakukan revisi, perubahan, penambahan, pengurangan, atau perbaikan terhadap S&K ini setiap waktu, tanpa pemberitahuan terlebih dahulu kepada Buyer.

We reserve the right to revise, change, add, subtract, or improve this T&C at any time, without prior notice to the Buyer.

4. Dalam hal Buyer berhenti menggunakan layanan RUN Market, maka data informasi yang sudah diberikan oleh Buyer kepada Kami akan tetap menjadi milik Kami;

In the event that the Buyer stops using the RUN Market services, the information data provided by the Buyer to Us will remain Our property;

5. S&K ini diatur, ditafsirkan, dan dilaksanakan sesuai dengan hukum yang berlaku di Negara Republik Indonesia;

This T&C are governed, interpreted, and enforced in accordance with the laws applicable in the Republic of Indonesia;

6. Dalam hal terdapat salah satu maupun beberapa ketentuan dari S&K ini yang dianggap melanggar hukum, batal, atau karena alasan apapun tidak dapat diberlakukan berdasarkan hukum yang berlaku di Negara Republik Indonesia, maka ketentuan tersebut harus dianggap dapat dipisahkan dari S&K ini dan tidak akan mempengaruhi keabsahan dan keberlakuan setiap ketentuan yang lainnya maupun keabsahan dan keberlakuan ketentuan tersebut berdasarkan hukum yang berlaku di Negara Republik Indonesia.

In the event that any one or more provisions of this T&C are deemed to violate the law, void, or for any reason cannot be enforced under the laws applicable in the Republic of Indonesia, then such provision should be considered severable from these Terms and Conditions and shall not affect the validity and enforceability of any other provisions or the validity and enforceability of such provision under the laws applicable in the Republic of Indonesia.

3. SYARAT DAN KETENTUAN RUN MARKET SELLER/ TERMS AND CONDITIONS OF RUN MARKET SELLER
   1. Keberlakuan/ Applicability
      1. S&K ini berlaku sebagaimana mestinya dan wajib diperhatikan oleh Seller sebelum menggunakan layanan RUN Market;

This T&C apply as they should and must be observed by the Seller before using the RUN Market service;

2. S&K ini mulai berlaku sejak kali pertama Seller menggunakan layanan RUN Market;

This T&C shall take effect from the first time the Seller uses the RUN Market service.

3. Dengan menggunakan layanan RUN Market, Seller telah memberikan penerimaan dan persetujuan yang tidak dapat dicabut atas isi S&K ini, termasuk namun tidak terbatas pada S&K Turunan dan Kebijakan Privasi;

By using the RUN Market service, the Seller has given irrevocable acceptance and approval of the contents of this T&C, including but not limited to Derivative T&C and Privacy Policy;

4. Dalam hal Seller tidak menyetujui ketentuan S&K ini, Seller dipersilahkan untuk berhenti menggunakan layanan RUN Market;

In the event that the Seller does not agree to the provisions of this T&C, the Seller is welcome to stop using the RUN Market service;

5. Segala perubahan terhadap RUN Market beserta fasilitasnya akan tetap tunduk pada S&K ini.

Any changes to RUN Market and its facilities will still be subject to this T&C.

2. Penggunaan Layanan RUN Market/ Use of RUN Market Services.
   1. Seller wajib melakukan registrasi secara online dengan data yang benar dan akurat melalui platform RUN Market;

The Seller is required to register online with accurate and correct data through the RUN Market platform;

2. Calon Seller bertanggung jawab penuh terhadap kebenaran dan seluruh data dan informasi yang disampaikan di dalam Registration Form RUN Market;

Prospective Sellers are fully responsible for the accuracy of all data and information provided in the RUN Market Registration Form.

3. Atas kebijakan Kami. Kami berhak secara sepihak menolak registrasi dari calon Seller;

In accordance with our policy, we reserve the right to unilaterally reject registration from prospective Sellers.

4. Setelah proses registrasi pada poin B.1 tersebut di atas, Seller akan mendapat username dan password yang dapat digunakan untuk log in akun RUN Market;

After the registration process in point B.1 above, the Seller will receive a username and password that can be used to log in to the RUN Market account;

5. Seller menyetujui bahwa username dan password yang diperoleh merupakan representasi Seller atas segala aktivitas dalam platform RUN Market dan penggunaan atas username dan password tersebut akan terasosiasikan dengan segala aktivitas dalam sistem Kami;

The Seller agrees that the username and password obtained represent the Seller for all activities on the RUN Market platform, and the use of the username and password will be associated with all activities in our system;

6. Seller bertanggung jawab atas penjagaan kerahasiaan username dan password dan bertanggung jawab atas transaksi dan kegiatan lain yang menggunakan akun miliknya;

The Seller is responsible for maintaining the confidentiality of the username and password and is responsible for transactions and other activities using their account;

7. Seller wajib memutakhirkan data diri atau badan dalam hal terdapat perubahan atau jika tidak sesuai dengan S&K ini.

The Seller must update personal or company data in case of changes or if it does not comply with this T&C;

8. Seller setuju untuk segera memberikan informasi kepada Kami apabila mengetahui adanya penyalahgunaan akun miliknya oleh pihak lain yang tidak berhak atau jika ada gangguan keamanan atas akun miliknya;

The Seller agrees to immediately inform us if they become aware of any unauthorized use of their account by unauthorized parties or if there is a security breach of their account.

9. Seller yang memenuhi kewajibannya berdasarkan S&K ini berhak menikmati layanan RUN Market selama 7 (tujuh) hari seminggu dan 24 (dua puluh empat) jam sehari dari Kami;

Sellers who fulfill their obligations under this T&C are entitled to enjoy RUN Market services 7 (seven) days a week and 24 (twenty-four) hours a day from us.

Sellers have the right to receive maintenance, repair, and patch services related to the RUN Market platform;

RUN Market will always provide its latest information through one of the communication channels, website, scrolling text, or other media.

12. Kami berhak sewaktu-waktu mengurangi, menambah atau mengubah layanan RUN Market dengan pemberitahuan terlebih dahulu melalui pengumuman di salah satu saluran komunikasi RUN Market seperti pada website, dan teks berjalan (scrolling text), atau pada media-media lainnya, kecuali perubahan yang dilakukan pihak ketiga.

3. Aktivitas Transaksi/ Transaction Activities
   1. Seller wajib untuk menggunakan Virtual Account yang tersedia pada platform RUN Market atas setiap aktivitas transaksi yang dilakukan dengan Buyer;

The Seller is required to use the Virtual Account available on the RUN Market platform for every transaction activity carried out with the Buyer.

2. Seller akan dikenakan biaya untuk setiap aktivitas transaksi yang dilakukan apabila terjadi proses Cross Selling (selanjutnya disebut “Cross Selling Fee”)

The Seller will incur charges for each transaction activity carried out in the event of a Cross Selling process (hereinafter referred to as "Cross Selling Fee").

3. Besaran Cross Selling Fee adalah sebesar 0,5% (nol koma lima persen) hingga 1% (satu persen) dari nilai transaksi Cross Selling.

The amount of the Cross Selling Fee is between 0.5% (zero point five percent) to 1% (one percent) of the value of the Cross Selling transaction.

4. Batasan Penggunaan Layanan RUN Market/ Mitations on the Use of RUN Market Services
   1. Seller dilarang untuk:

Sellers are prohibited from:

1. mengenakan biaya kepada orang atau pihak lain untuk menikmati layanan RUN Market;

Charging individuals or other parties to access RUN Market services;

2. memberikan atau menayangkan ulang atau mendistribusikan atau memperluas sendiri layanan RUN Market dengan cara apapun kepada pihak lain;

Providing, broadcasting, redistributing, or expanding RUN Market services in any way to other parties;

3. memperbanyak dan/atau menggandakan dalam bentuk apapun semua layanan RUN Market;

Reproducing and/or duplicating in any form all RUN Market services:

4. menggunakan segala bentuk layanan maupun identitas RUN Market, termasuk namun tidak terbatas pada logo, trademark, dan lain sebagainya untuk kepentingan pribadi dan/atau pihak lain manapun;

Using any form of RUN Market services or identities, including but not limited to logos, trademarks, and others, for personal or any other party's interests;

5. memberikan kesempatan kepada lain untuk memanfaatkan sistem RUN Market yang tidak sebagaimana mestinya tanpa izin tertulis sebelumnya dari Kami.

Allowing others to exploit the RUN Market system improperly without prior written permission from Us.

2. Seller menerima dan menyetujui bahwa seluruh sistem dan platform RUN Market harus digunakan untuk tujuan sebagaimana mestinya yang sesuai dengan etika bisnis, norma-norma, hukum, dan peraturan perundang-undangan yang berlaku di Negara Republik Indonesia;

Sellers acknowledge and agree that all RUN Market systems and platforms must be used for their intended purposes in accordance with business ethics, norms, laws, and regulations in force in the Republic of Indonesia;

3. Seller menyadari bahwa usaha apapun untuk dapat menembus sistem komputer dengan tujuan memanipulasi data dan informasi pada platform RUN System merupakan tindakan melanggar hukum;

Sellers are aware that any attempt to penetrate computer systems with the aim of manipulating data and information on the RUN System platform is illegal;

4. Seller bersedia untuk tidak membuka, mengeluarkan, maupun memberikan setiap informasi dan data kepada pihak lainnya, dan/atau penggunaannya dengan cara bagaimanapun baik langsung maupun tidak langsung terhadap setiap informasi dan data yang berhubungan dengan kegiatan transaksi pada platform RUN Market.

Sellers agree not to disclose, release, or provide any information and data to other parties, and/or use it in any way directly or indirectly regarding any information and data related to transaction activities on the RUN Market platform.

5. Pembekuan Akun, Pemutusan, Pemberhentian Penggunaan Layanan RUN Market/ Freezing Account, Termination, Discontinuation of RUN Market Services
   1. Kami secara sepihak berhak melakukan pembekuan terhadap akun Seller, dalam hal:

We reserve the right to unilaterally freeze Seller accounts, in the event of:

1. Seller diduga atau terbukti melakukan pelanggaran atas satu, beberapa, ketentuan S&K ini maupun S&K Turunan dan/atau Kebijakan Privasi RUN Market;

The Seller is suspected or proven to have violated one, some, provisions of these Terms and Conditions as well as Derivative Terms and Conditions and/or RUN Market Privacy Policy;

2. track record transaksi Seller tidak baik;

Seller's transaction track record is not good;

3. Seller diduga melakukan penipuan dalam melaksanakan transaksi melalui platform RUN Market.

The Seller is suspected of committing fraud in conducting transactions through the RUN Market platform.

2. Seller dapat mendapatkan Kembali hak akses atas akunnya dan menikmati layanan RUN Market setelah terbukti tidak bersalah melakukan hal-hal sebagaimana yang tercantum dalam poin E.1, atau atas kebijakan Kami;

The seller can regain access rights to their account and enjoy RUN Market services after being proven innocent of engaging in activities as listed in point E.1, or as per Our policy.

3. Kami secara sepihak berhak untuk melakukan pemutusan layanan RUN Market Seller dalam hal:

We reserve the right to unilaterally terminate RUN Market Seller services in the event of:

1. Seller terbukti melakukan pelanggaran S&K, S&K Turunan, dan/atau Kebijakan Privasi RUN Market;

The seller is proven to have violated the Terms and Conditions, Derived Terms and/or Privacy Policy of RUN Market;

2. Seller terbukti melakukan penipuan dalam melaksanakan transaksi melalui platform RUN Market;

The seller is proven to have committed fraud in conducting transactions through the RUN Market platform;

3. Seller masuk kedalam black lists Kami atas alasan-alasan yang dianggap memenuhi kriteria black lists sesuai kebijakan Kami.

The seller is included in our blacklist for reasons deemed to meet the criteria of blacklists according to our policy.

4. Seller berhak melakukan pemutusan atau penghentian penggunaan layanan RUN Market dengan cara mengirimkan e-mail atau surat kepada Kami.

The seller has the right to terminate or cease the use of RUN Market services by sending an email or letter to Us.

6. Batasan Tanggung Jawab Kami/ Our Limitation of Liability
   1. Kami tidak bertanggungjawab atas segala bentuk Wanprestasi yang dilakukan oleh Buyer terkait transaksi yang dilakukan dengan Seller;

We are not responsible for any form of default committed by the Buyer related to transactions conducted with the Seller;

2. Seller dengan ini membebaskan Kami dari segala bentuk tanggung jawab atas transaksi yang dilakukan antara Seller dan Buyer di luar platform RUN Market;

The Seller hereby releases Us from any form of liability for transactions conducted between the Seller and Buyer outside the RUN Market platform;

3. Kami tidak bertanggung jawab dan Seller setuju untuk membebaskan Kami dari tanggung jawab atas terjadinya keadaan kahar atau force majeure, yaitu kondisi diluar kehendak/kemampuan Kami, termasuk namun tidak terbatas pada bencana alam, huru-hara, revolusi, blokade, embargo, tindakan dari pemerintah, pemogokan, penutupan perusahaan, wabah, perintah hukum apapun, proklamasi, regulasi, ordonansi, saluran yang hilang karena gangguan server yang bukan merupakan kesalahan Kami, dan hal-hal lain yang mungkin terjadi selama masa penggunaan yang berada di luar jangkauan kemampuan manusia pada umumnya. Dalam hal terjadi keadaan kahar atau force majeure tersebut, Kami tidak berkewajiban untuk memberikan ganti rugi dalam bentuk apapun kepada Seller, termasuk tidak berkewajiban pada penyesuaian Biaya Layanan, biaya admin, dan biaya lainnya.

We are not liable, and the Seller agrees to release Us from liability for the occurrence of force majeure events, namely conditions beyond Our control/ability, including but not limited to natural disasters, riots, revolutions, blockades, embargoes, government actions, strikes, company closures, pandemics, any legal orders, proclamations, regulations, ordinances, lost channels due to server disruptions that are not Our fault, and other events that may occur during the period of use that are beyond the reach of human capabilities in general. In the event of such force majeure events, We are not obliged to provide any form of compensation to the Seller, including not being obligated to adjust Service Fees, admin fees, and other costs.

7. Pernyataan dan Jaminan Seller/ Seller's Statements and Warranties

Buyer menyatakan dan menjamin bahwa:

Buyer states and warrants that:

1. Seller memiliki kapasitas hukum, hak, kewajiban, serta wewenang untuk mengikatkan diri pada S&K ini dan mematuhi seluruh isi S&K ini; dan

Seller has the legal capacity, rights, obligations, and authority to bind itself to these Terms and Conditions and comply with all the contents of these Terms and Conditions; and

2. Seller akan menggunakan layanan RUN Market untuk tujuan yang sah dan sesuai S&K ini serta peraturan perundang-undangan, kode, arahan, pedoman, kebijakan, dan aturan lain yang berlaku.

Seller will use the RUN Market services for legitimate purposes in accordance with these Terms and Conditions and applicable laws, codes, directives, guidelines, policies, and other rules.

8. Lain-lain/ Miscellaneous
   1. Kami berhak melakukan promosi kepada Seller, baik langsung maupun tidak langsung, termasuk juga pengiriman informasi produk, atau jasa, atau berita langsung ke Seller;

We have the right to conduct promotions to Sellers, both directly and indirectly, including sending product information, services, or news directly to Sellers.

2. Kami berhak melakukan revisi, perubahan, penambahan, pengurangan, atau perbaikan terhadap S&K ini setiap waktu, tanpa pemberitahuan terlebih dahulu kepada Seller;

We have the right to revise, change, add, subtract, or improve this T&C at any time, without prior notice to the Seller;

3. Dalam hal Seller berhenti menggunakan layanan RUN Market, maka data informasi yang sudah diberikan oleh Seller kepada Kami akan tetap menjadi milik Kami.

In the event that the Seller stops using the RUN Market service, the data and information provided by the Seller to Us will remain Our property.

4. SYARAT DAN KETENTUAN R1/ TERMS AND CONDITIONS R1
   1. Keberlakuan/ Applicability
      1. S&K ini berlaku sebagaimana mestinya dan wajib diperhatikan oleh User sebelum menggunakan layanan R1;

These terms and conditions shall apply as intended and must be observed by the User before using the R1 service.

2. S&K ini mulai berlaku sejak kali pertama User menggunakan layanan R1;

These terms and conditions shall take effect from the first time the User uses the R1 service.

3. Dengan menggunakan layanan R1, User telah memberikan penerimaan dan persetujuan yang tidak dapat dicabut atas isi S&K ini, termasuk namun tidak terbatas pada S&K Turunan dan Kebijakan Privasi;

By using the R1 service, the User has given irrevocable acceptance and approval of the contents of this T&C, including but not limited to Derivative T&C and Privacy Policy.

4. Dalam hal User tidak menyetujui ketentuan S&K ini, User dipersilahkan untuk berhenti menggunakan layanan R1;

In the event that the User does not agree to the provisions of this T&C, the User is welcome to stop using the R1 service;

5. Segala perubahan terhadap R1 beserta fasilitasnya akan tetap tunduk pada S&K ini.

Any changes to R1 and its facilities will remain subject to this T&C.

2. Persyaratan User/ User Requirements

User dapat berbentuk badan yang menggunakan layanan R1.

Users can be entities utilizing service R1.

3. Penggunaan Layanan/ Service Usage
   1. Untuk dapat menggunakan layanan R1 sebagai User, terlebih dahulu User melakukan registrasi secara online dengan data yang benar dan akurat melalui platform website registrasi R1;

In order to use the R1 service as a User, the User must first register online with accurate and correct data through the R1 registration website platform;

2. Setelah proses registrasi pada poin C.1 tersebut di atas, User akan mendapatkan email yang berisi file installer R1 serta Username dan password yang dapat digunakan untuk log in ke R1;

After the registration process in point C.1 above, the User will receive an email containing the R1 installer file as well as the Username and password that can be used to log in to R1;

3. User menyetujui bahwa Username dan password yang diperoleh merupakan representasi User atas segala aktivitas dalam platform R1 dan penggunaan atas Username dan password tersebut akan terasosiasikan dengan segala aktivitas dalam sistem Kami;

The User agrees that the Username and password obtained represent the User's activities on the R1 platform, and the use of the Username and password will be associated with all activities in our system;

4. User bertanggung jawab atas penjagaan kerahasiaan Username dan password dan bertanggung jawab atas transaksi dan kegiatan lain yang menggunakan akun miliknya.

The User is responsible for maintaining the confidentiality of the Username and password and is responsible for transactions and other activities using their account;

5. User berhak untuk menggunakan layanan R1 selama 7 (tujuh) hari seminggu dan 24 (dua puluh empat) jam sehari;

The User has the right to use the R1 service 7 (seven) days a week and 24 (twenty-four) hours a day;

6. User setuju untuk segera memberikan informasi kepada Kami apabila mengetahui adanya penyalahgunaan akun miliknya oleh pihak lain yang tidak berhak atau jika ada gangguan keamanan atas akun miliknya;

The User agrees to promptly inform us if they become aware of any unauthorized use of their account by unauthorized parties or if there is a security breach of their account;

7. User berhak untuk mendapatkan bantuan dari Customer Service Kami terkait penggunaan layanan R1;

The User has the right to receive assistance from our Customer Service regarding the use of the R1 service;

8. Kami akan selalu memberikan informasi terkait platform R1 melalui salah satu saluran komunikasi, website, teks berjalan (scrolling text), atau pada media-media lainnya.

We will always provide information regarding the R1 platform through one of the communication channels, website, scrolling text, or other media.

 

4. Batasan Penggunaan Layanan/ Limitation of Service Usage
   1. User dilarang untuk:

Users are prohibited from

1. mengenakan biaya kepada orang atau pihak lain untuk menikmati layanan R1;

charging individuals or other parties to access service R1;

2. memberikan atau menayangkan ulang atau mendistribusikan atau memperluas sendiri layanan R1 dengan cara apapun kepada pihak lain;

providing, broadcasting, redistributing, or extending service R1 in any way to other parties;

3. memperbanyak dan/atau menggandakan dalam bentuk apapun semua layanan R1;

reproducing and/or duplicating in any form all services of R1;

4. menggunakan segala bentuk layanan maupun identitas R1, termasuk namun tidak terbatas pada logo, trademark, dan lain sebagainya untuk kepentingan pribadi dan/atau pihak lain manapun;

using any form of service or identity of R1, including but not limited to logos, trademarks, and others for personal and/or any other party's interests;

5. memberikan kesempatan kepada lain untuk memanfaatkan sistem R1 yang tidak sebagaimana mestinya tanpa izin tertulis sebelumnya dari Kami.

allowing others to exploit the R1 system improperly without prior written permission from Us.

2. User menerima dan menyetujui bahwa seluruh sistem dan platform R1 harus digunakan untuk tujuan sebagaimana mestinya yang sesuai dengan etika bisnis, norma-norma, hukum, dan peraturan perundang-undangan yang berlaku di Negara Republik Indonesia;

The user acknowledges and agrees that the entire R1 system and platform must be used for their intended purposes in accordance with business ethics, norms, laws, and regulations applicable in the Republic of Indonesia;

3. User menyadari bahwa usaha apapun untuk dapat menembus sistem komputer dengan tujuan memanipulasi data dan informasi pada platform R1 Merupakan tindakan melanggar hukum;

The user is aware that any attempt to penetrate the computer system with the aim of manipulating data and information on the R1 platform is considered illegal;

4. User bersedia untuk tidak membuka, mengeluarkan, maupun memberikan setiap informasi dan data kepada pihak lainnya, dan/atau penggunaannya dengan cara bagaimanapun baik langsung maupun tidak langsung terhadap setiap informasi dan data yang berhubungan dengan kegiatan transaksi pada platform R1.

The user is willing not to disclose, release, or provide any information and data to third parties, and/or use it in any way, directly or indirectly, in connection with transaction activities on the R1 platform.

5. Pembekuan Akun, Pemutusan, Pemberhentian Penggunaan Layanan/ Account Freezing, Termination, Termination of Service Usage
   1. Kami secara sepihak berhak melakukan pembekuan terhadap akun User, dalam hal User diduga atau terbukti melakukan pelanggaran atas satu, beberapa, ketentuan S&K ini maupun S&K Turunan dan/atau Kebijakan Privasi R1;

We unilaterally reserve the right to freeze a User's account, in the event that the User is suspected or proven to have violated one or more provisions of this T&C as well as Derivative T&C and/or Privacy Policy R1;

2. User dapat mendapatkan Kembali hak akses atas akunnya dan menikmati layanan R1 setelah terbukti tidak bersalah melakukan hal-hal sebagaimana yang tercantum dalam poin E.1, atau atas kebijakan Kami.

The User may regain access to their account and enjoy R1 services after being proven innocent of the actions listed in point E.1, or based on Our policies.

3. Kami secara sepihak berhak untuk melakukan pemutusan layanan R1 User dalam hal:

We unilaterally reserve the right to terminate User's R1 services in the event:

1. User terbukti melakukan pelanggaran S&K, S&K Turunan, dan/atau Kebijakan Privasi R1;

The user has been proven to violate Terms & Conditions, Derived Terms & Conditions, and/or Privacy Policy R1;

2. User masuk kedalam black lists Kami atas alasan-alasan yang dianggap memenuhi kriteria black lists sesuai kebijakan Kami;

The user has been blacklisted by us for reasons deemed to meet the criteria for blacklists according to our policy;

3. User memilih untuk tidak memperpanjang layanan penggunaan R1.

The user chooses not to renew the use of service R1.

4. User berhak melakukan pemutusan atau penghentian penggunaan layanan R1 dengan cara mengirimkan e-mail atau surat kepada Kami.

The user has the right to terminate or discontinue the use of service R1 by sending an email or letter to us.

   1. Kami tidak bertanggungjawab atas segala bentuk Wanprestasi yang dilakukan oleh User;

We are not responsible for any form of default committed by the User;

2. User dengan ini membebaskan Kami dari segala bentuk tanggung jawab atas transaksi yang dilakukan di luar platform R1;

By this, the User releases Us from any form of liability for transactions conducted outside the R1 platform.

3. Kami tidak bertanggung jawab dan User setuju untuk membebaskan Kami dari tanggung jawab atas terjadinya keadaan kahar atau force majeure, yaitu kondisi diluar kehendak/kemampuan Kami, termasuk namun tidak terbatas pada bencana alam, huru-hara, revolusi, blokade, embargo, tindakan dari pemerintah, pemogokan, penutupan perusahaan, wabah, perintah hukum apapun, proklamasi, regulasi, ordonansi, saluran yang hilang karena gangguan server yang bukan merupakan kesalahan Kami, dan hal-hal lain yang mungkin terjadi selama masa penggunaan yang berada di luar jangkauan kemampuan manusia pada umumnya. Dalam hal terjadi keadaan kahar atau force majeure tersebut, Kami tidak berkewajiban untuk memberikan ganti rugi dalam bentuk apapun kepada User, termasuk tidak berkewajiban pada penyesuaian Biaya Layanan, biaya admin, dan biaya lainnya.

In the event of such force majeure events, We are not obligated to provide any form of compensation to the User, including not being obligated to adjust Service Fees, administrative fees, and other costs.

The User has the legal capacity, rights, obligations, and authority to bind themselves to this T&C and comply with all the contents of this T&C; and

2. User akan menggunakan layanan R1 untuk tujuan yang sah dan sesuai S&K ini serta peraturan perundang-undangan, kode, arahan, pedoman, kebijakan, dan aturan lain yang berlaku.

The User will use R1 services for legitimate purposes in accordance with this T&C and applicable laws, codes, directives, guidelines, policies, and other regulations.
